Will is a founder of HWF Partners and recognized as one of the leading brokers in the M&A insurance marketplace. His significant experience of structuring W&I policies and specialist bespoke policies for complex situations means he is regularly engaged by both corporate and institutional investors to structure solutions across a broad range of geographies to meet their needs.

Recent Experience

Will’s recent experience includes:

  • Advising CVC Capital Partners, alongside Freshfields Bruckhaus Deringer, in structuring a W&I policy for CVC Fund VIII’s agreed acquisition of Away Resorts. Further advised CVC Capital Partners on the structuring of a W&I policy for the subsequent agreement to acquire Aria Resorts.
  • Advising Flutter Entertainment Plc and Freshfields Bruckhaus Deringer on procuring a program of insurance for a buyer’s W&I policy in relation to the acquisition of Tombola Limited.
  • Working with long standing advisory partner CMS Cameron McKenna Nabarro Olswang in structuring a W&I policy for Dye & Durham, in respect of their investment in TM Group.
  • Working with key clients CVC Capital Partners and advisors Freshfields Bruckhaus Deringer to place a W&I policy for the acquisition by CVC portfolio company, System C Healthcare, of Wellsky International.
  • Working with key legal advisory partners O’Melveny & Myers to place a buy-side W&I policy for HID Global, a worldwide leader in trusted identity solutions, for its acquisition of Access IS from MOBEUS EQUITY PARTNERS and other individual selling shareholders.
  • Working with long standing advisory clients and partners White & Case, GKC Partners and Esin Attorney Partnership in structuring a W&I policy for Zynga, a global leader in interactive entertainment, on the US$1.8 billion acquisition of Istanbul-based Peak Oyun Yazilim ve Pazarlama, A.S. The transaction is the largest acquisition of a start-up in Turkey to date.
  • Working with key clients and partners Sandvik and Norton Rose Fulbright in structuring a W&I policy for the acquisition of DSI Underground, the global leader in ground support and reinforcement products, systems and solutions for the underground mining and tunneling industries.
  • Working with key clients Travers Smith and Livingbridge on structuring and advising on a W&I insurance placement on the acquisition of the Chill Insurance Group, one of Ireland’s leading insurance and financial services groups.
  • Working with long standing client Montagu Private Equity, who have agreed to acquire ISI Emerging Markets Group, from CITIC Capital and Caixin Global. Involved on both sides of the transaction, working with key advisory partners Gibson, Dunn & Crutcher (acting for sellers) and Weil, Gotshal & Manges (acting for Montagu).
  • Advising Culina Group and advisors Eversheds Sutherland on the placement of a W&I policy for the acquisition of GreenWhiteStar Acquisitions which comprises Eddie Stobart, Eddie Stobart Europe, iForce, The Pallet Network, and The Logistics People.

Before founding HWF, Will spent nine years split between four years at the core of Marsh’s transaction risk team and prior to this at HSBC where he headed up their offering in this space.
